Rockband Inc. Announces Change of Control and Name Change to American Community Development Group

St. Petersburg, Florida— November 10, 2009 The publicaly traded Rockband Inc. (“RKBD.PK”)– Announces Change of Management Control; a request for Name Change to American Community Development Group Inc. (ACD) and 200 to 1 Reverse Stock Split.

Nov. 10, 2009 - PRLog -- The Board of Directors of Rockband, Inc. (“RKBD.PK”) also appointed the following officers and directors:

John Folger, President, Chief Executive Officer and Chairman of the Board of Directors –Mr. Folger has accepted the appointment to lead this 24 year old public company into new ventures in the affordable housing industry. The Company will focus on the needs of “special tenants” that are underserved in the traditional housing market. These tenants are usually clients of non profit organizations or agencies that require unique accommodations and can be housed in a group home type of arrangement.

With over 30 years of broad experience in private company and public markets, Mr. Folger has been responsible for multiple business acquisitions, relationships and ventures in consumer and construction services, technology development, credit card and merchant services and real estate. Mr. Folger had been the President of Household Direct, Inc. , a company formed to consolidate the wholesale shopping club industry utilizing internet technology. He also led MBA Financial Corp. and it’s subsidiary, Merchant Bankers Alliance, which were initial introducers in the deployment of debit card readers and other merchant processing services when debit cards were first being introduced to the consumer market. As the President of the International Franchise Association of Business Exchange International, Mr. Folger was the first to create a master and sub franchise system that was the most successful in the companies 20 year history. He also headed the Company’s east coast operations, which were headquartered in New York. He also led the M&A team that negotiated the buyout of the parent company in California. With his wife, Sharon, Mr. Folger created Kraftwerkes Group, Inc, which operated a construction and remodeling company in Fairfield and Westport, CT, where they built or remodeled over a dozen properties. After acquiring a custom cabinetry company and a wood flooring specialty firm, Kraftwerkes Group and Finlandia Flooring became one of the premier specialty wood flooring and cabinetry contactors in Fairfield County, Connecticut and Westchester County in New York. They also accomplished renovations of antique houses and other premier properties, including a 30 acre horse farm, which was sold in 2002.

David Gray, Chief Financial Officer and Director - Mr. Gray’s extensive professional experience as an independent business consultant includes specializing in working with small companies on strategy formulation, business development, and strategic relationships, plus due diligence for potential investors and mergers/acquisitions deals for both large and small companies.  His extensive executive experience includes managing SEC reporting, Sarbanes-Oxley compliance/testing, public stock underwriter/investor relations, investment banking relations, companies’ SEC-approved CPA audits, mergers/acquisitions, and domestic/international joint ventures.  From 2003 through 2005, he served as Chief Financial Officer of Par Advance Technologies Corp., a public RFD, software, and biometric manufacturing company. Mr. Gray has an M.B.A. degree in Finance from the University of Tampa and a B.S. degree in Accounting from the University of South Florida.

Additional actions taken by the Board of Directors of Rockband, Inc, (RKBD.PK) on November 10, 2009

Appointment of John E. Lux as Vice President - Mr. Lux is a director and officer of several private companies, including Advanced Energy Research Corporation, an alternate energy company. He assisted in founding, financing and developing American Dream Communities, Inc., which acquires and operates manufactured home communities in Georgia and Florida. Mr. Lux has a Juris Doctor degree with Honors from the University of Maryland Law School and a B.S. degree with Honors in Business Statistics from New York University School of Business and Public Administration.

The resignation of Mary Radomsky as Officer and Director was also accepted.  There was no known disagreement with any of the former officers and/or directors on any matter relating to the Company’s operations, policies or practices.  Prior to this date, Ms. Radomsky was the sole acting Officer and Director of the Company.


Name Change and Reverse Stock Split

The Company is actively completing the process to effectuate a name change from Rockband, Inc. to American Community Development Group Inc. and a 200 to 1 Reverse Stock Split.  The Reverse Stock Split request to FINRA is with an effective date of November 24, 2009.  The actual effective date of the Reverse Stock Split as well as the new trading symbol for the Company will be determined by FINRA.


About American Community Development Group, Inc.

The Company acts as a principal in the acquisition, renovation and management of affordable housing real estate properties. These are mobile home parks, apartment building and hotels/motels. These properties are than used, where applicable, to house “special populations” as managed or supplied by various not for profit entities or other independent agencies. The “special populations” include, but are not limited to; drug and alcohol clients, the elderly, HIV/AIDS clients, veterans, aging out of foster care (AOFC) children and ex-offenders. The Company also acts as a consultant to non profits to provide specialty services such as accounting, management, grant and funding development, operations expertise or program support personnel for some of the social services required to enable the beneficial assistance to their clients. Rental income is normally charged by the week or the month, usually over the short term of less than 1 year. In addition to charging traditional rent, the Company gains additional fees for services provided to the clients and their non profit sponsors. In some cases, the rental income is based on multiple person room occupancy.
