CapStar Board Approves Holding Company

NASHVILLE, Tenn. - Dec. 4, 2015 - PRLog -- The board of directors of CapStar Bank has unanimously approved the formation of a holding company, CapStar Financial Holdings, Inc. (CFH).  The primary function of the holding company, among many, is to create a corporate structure that provides the bank with enhanced flexibility as it considers strategic moves to augment CapStar’s organic growth. Additionally, the holding company, which will hold 100 percent of CapStar’s outstanding common stock, will provide a platform that may facilitate a public offering or allow for debt issuance to enable the financing of acquisitions or support capital formation.

An application for approval of the holding company will be filed with CapStar’s primary regulator this week. CapStar shareholders will vote on a motion to approve its formation at a special shareholder meeting scheduled for Jan. 28, 2016.

Should both approvals be secured, a realignment of Management will occur to better serve the new corporate structure.  Claire W. Tucker will become President and Chief Executive Officer of CapStar Financial Holdings, and Dan W. Hogan will assume the title of Chief Executive Officer of CapStar Bank. Chief Financial Officer Rob Anderson will become Chief Administrative Officer and Chief Financial Officer of both CapStar Financial Holdings and CapStar Bank.

The holding company will focus on investor relations, governmental and regulatory relations, merger and acquisition activity, and corporate governance, and the bank will remain focused on organic growth and profitability at the operational level.
