1344344 Bc Ltd Proposes Plan Of Arrangement

CALGARY, Alberta - July 19, 2024 - PRLog -- 1344344 B.C. LTD. ("344" or the "Company"), an unlisted reporting issuer, wishes to announce that it intends to complete a statutory plan of arrangement under the laws of British Columbia (the "Plan of Arrangement") whereby it will exchange shares of four newly created British Columbia companies for each common share currently held by its shareholders. In addition to the issuance of the four new companies, each holder will receive a new common share of 344. The four new companies are being formed in order to create new non-listed public entities (reporting issuers in British Columbia and Alberta) that will be positioned to take advantage of targeted opportunities in different industries and geographic locations.

The Company has filed a notice of meeting and intends to apply and obtain an Interim Order from the Supreme Court of British Columbia to allow it to proceed with calling a meeting of its shareholders on August 30, 2024, to approve the Plan of Arrangement and to conduct the steps necessary to implement the Plan of Arrangement. The application for the Interim Order is expected to be filed during the week of July 29, 2024.
